The Companies Act requires a CS for public companies and private companies with paid-up capital above INR 10 crore.

Outside the regulatory trigger, hire a CS function (in-house or outsourced) when filings are starting to slip, when there's an upcoming funding round that requires clean compliance, or when the board is starting to meet formally. A solo CS in-house works at one scale; an outsourced partner-led practice covers the same scope at a fraction of the cost up to mid-market.

Access to the company's ROC portal is limited to the named engagement team, and we use unique credentials per client (never shared). Statutory registers we maintain on your behalf belong to you — we maintain the working copies and the final copies sit with the company secretary or company records as the Companies Act requires.

Solo CS practices are excellent for the basics at a low cost.

Where we differ: partner attention on the matters that need it (FEMA, AIF compliance, secretarial DD, transaction documentation), continuity if the lead partner is unavailable, and process discipline across a firm rather than dependence on one person. For mid-market companies past Series A, the difference becomes meaningful — for very small companies, a solo practice is often the right choice.

Common situation. The first ninety days of engagement are usually a clean-up sprint: gap audit, prioritised remediation list, late-filing penalties calculated, and a path to fully current compliance. Penalties are paid by the company; our work is to get back to a clean baseline. After that, ongoing compliance keeps it clean.

First year of compliance — first board meeting documentation, opening of bank accounts coordination, statutory register setup, first filings (commencement of business, share allotments to founders / investors), and the calendar of compliance events for the year ahead. Most newly-incorporated companies retain us for the post-incorporation year because doing it alone is high-risk for a first-time company.

Yes. FDI filings (FC-GPR, FC-TRS), ODI filings, ECB filings, downstream investment reporting, and FEMA compliance for share issuance / transfer between residents and non-residents. We coordinate with the AD bank and RBI directly. For complex cross-border structures, we work alongside specialist FEMA counsel — that pairing is on the engagement letter so fees are clear.
